Welcome to Karmaphal.
These Terms & Conditions ("Terms") govern your use of our website (karmaphal.in) and any services provided by Karmaphal ("we," "us," "our"). By accessing our website or engaging our services, you agree to these Terms.
1. Our Services
Karmaphal provides digital and creative services including Branding, Websites & Apps, Software & Automation, and Media & Growth. We offer two engagement models:
The Retainer — an ongoing monthly partnership providing continuous access to our team across all disciplines.
Project Based — a defined-scope engagement with fixed deliverables, timeline, and milestones agreed upon before work begins.
Specific scope, deliverables, timelines, and pricing for any engagement will be confirmed separately in writing (via proposal, contract, or agreed email correspondence) before work commences.
2. Client Responsibilities
To deliver our best work, we rely on timely collaboration. Clients are expected to:
Provide clear briefs, feedback, and necessary materials in a timely manner
Respond to requests for approval or clarification within a reasonable time
Provide accurate business and billing information
Delays in client feedback may affect project timelines and are not the responsibility of Karmaphal.
3. Payments
Retainer clients are billed monthly in advance. Subscriptions can be paused or cancelled with prior written notice, as agreed at the start of the engagement.
Project-based clients will follow a payment schedule agreed upon before the project begins, typically including an upfront deposit and milestone-based payments.
Unless otherwise specified on the invoice, all payments are due within 7 days of invoice issuance. Late payments may result in a pause of ongoing work until the account is settled.
4. Revisions
Retainer engagements include ongoing revisions as part of continuous collaboration.
Project-based engagements include revisions within the scope agreed upon at the start. Requests beyond the agreed scope may be treated as a new task and quoted separately.
5. Intellectual Property
Upon full payment, ownership of final approved deliverables (such as final logo files, website code, or content) transfers to the client, unless otherwise agreed in writing. Karmaphal retains the right to showcase completed work in our portfolio, case studies, and marketing materials, unless the client requests confidentiality in writing.
Any tools, frameworks, internal processes, or pre-existing assets used by Karmaphal to deliver services remain the property of Karmaphal.
Ownership transfer does not apply to any third-party fonts, software, plugins, or stock media used in the deliverables, which remain subject to their respective third-party licenses.
6. Confidentiality
We treat client information, business details, and shared materials as confidential and will not disclose them to third parties without consent, except where required by law.
7. Cancellations
Retainer clients may cancel with prior written notice as agreed in the engagement terms. No refunds are provided for the current billing cycle already in progress.
Project-based clients may cancel a project in writing; charges for work completed up to the cancellation date will apply.
8. Limitation of Liability
Karmaphal will make every reasonable effort to deliver quality work on agreed timelines. However, Karmaphal is not liable for indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities, except where such limitation is not permitted by applicable law. In no event shall Karmaphal’s total liability for any direct claims exceed the total amount actually paid by the client to Karmaphal for the specific project or service.
9. International Clients
Karmaphal works with clients globally, including within the European Union. For clients based in the EU, data handling is governed in accordance with the General Data Protection Regulation (GDPR), as detailed in our Privacy Policy.
10. Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services will first be addressed through good-faith discussion between both parties.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
